PLEASE CAREFULLY REVIEW THESE TERMS AND CONDITIONS PRIOR TO ACCESSING OR UTILIZING ANY PORTION OF THE STOCKMORE IMAGES INC. WEBSITE, MOBILE APPLICATION, OR ASSOCIATED SERVICES (COLLECTIVELY, THE "PLATFORM"). BY PROCEEDING TO ACCESS OR USE THE PLATFORM, INCLUDING ANY CONTENT, FUNCTIONALITY, PRODUCT, OR FEATURE THEREON, YOU HEREBY AFFIRM YOUR ACCEPTANCE OF AND AGREEMENT TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS, ALONG WITH ALL INCORPORATED POLICIES, GUIDELINES, AND ANY SUPPLEMENTAL RESTRICTIONS APPLICABLE TO SPECIFIC ELEMENTS OR OFFERINGS (COLLECTIVELY, THE "PLATFORM TERMS"). SHOULD YOU NOT CONSENT TO THESE PLATFORM TERMS IN THEIR ENTIRETY, YOU MUST IMMEDIATELY CEASE ALL ACCESS AND UTILIZATION OF THE PLATFORM.
These Platform Terms are not designed to modify or supersede the provisions of any separate licensing agreement you may have executed with Stockmore Images Inc. or its affiliates concerning the acquisition or use of photographic content. In the event of any conflict between these Platform Terms and such a licensing agreement, the terms of the licensing agreement shall govern. By accessing or using the Platform, you represent and warrant that you are at least eighteen (18) years of age and possess the legal capacity to enter into binding contracts. If you are accessing or using the Platform on behalf of any corporation, partnership, or other entity, you further represent and warrant that you are duly authorized to bind such entity to these Platform Terms, and that such entity shall indemnify and hold harmless Stockmore Images Inc. against any breaches hereof.
PRIVACY POLICY
Stockmore Images Inc. places a high priority on safeguarding your personal information. Kindly refer to our Privacy Policy, which details the manner in which we gather, process, store, and disclose such information, and which is hereby incorporated by reference into these Platform Terms.
OWNERSHIP OF THE PLATFORM AND ITS MATERIALS
The Platform is owned and operated by Stockmore Images Inc. Unless expressly stated otherwise, all materials displayed or made available on the Platform, encompassing but not limited to textual content, visual elements, photographic images, data compilations, audio recordings, graphical designs, software code, and the organization and layout thereof (collectively, the "Platform Materials"), are the exclusive property of Stockmore Images Inc., its licensors, or authorized third-party contributors. All such Platform Materials are safeguarded by applicable intellectual property laws, including copyrights, trademarks, trade secrets, and related protections. Stockmore Images Inc. welcomes constructive feedback regarding the Platform; however, you acknowledge that any suggestions, ideas, or comments submitted may be utilized by Stockmore Images Inc. without any duty of compensation or attribution to you.
UTILIZATION OF THE PLATFORM
The Platform and its Materials are provided exclusively for legitimate business purposes related to the evaluation, licensing, and acquisition of stock photographic content from Stockmore Images Inc. You are expressly forbidden from: (a) downloading, reproducing, or retransmitting any portion of the Platform or its Materials without a valid written license or agreement from Stockmore Images Inc.; (b) employing automated tools, scripts, or data extraction methods; (c) framing, mirroring, or otherwise incorporating the Platform or its Materials into another site or service; (d) attempting to enroll, modify, or disenroll any third party in Stockmore Images Inc. services without explicit authorization; (e) decompiling, reverse-engineering, or altering any aspect of the Platform or its Materials; (f) bypassing, disabling, or interfering with security measures or connected infrastructure; (g) commercializing, leasing, or otherwise monetizing the Platform or its Materials absent explicit written permission from Stockmore Images Inc.; or (h) engaging in any activity inconsistent with the Platform's intended function. Such prohibited conduct may contravene applicable statutes, including intellectual property laws, privacy regulations, and communications standards. You covenant to adhere to all relevant laws and regulations, including those governing data transmission and export controls from Canada or your jurisdiction of residence.
Stockmore Images Inc. disclaims any responsibility for remitting fees to you or any third parties in connection with invoicing or collections. You bear sole accountability for all taxes, duties, and ancillary charges (including credit card processing fees, currency conversion costs, and international transfer expenses).
STORED PAYMENT INFORMATION AND AUTOMATIC RENEWALS
You consent to Stockmore Images Inc. retaining your payment details (such as credit card information) through secure third-party processors. You further authorize the utilization of account update services provided by your financial institution or card network to refresh expired or replaced payment credentials automatically, thereby ensuring uninterrupted service continuity.
By furnishing your payment information, you grant Stockmore Images Inc. irrevocable permission to: (a) store such credentials securely; (b) apply updates as necessary; and (c) charge recurring fees to the updated method until you revoke or amend your details.
INTELLECTUAL PROPERTY INFRINGEMENT POLICY
Pursuant to applicable copyright legislation and other protective statutes, Stockmore Images Inc. maintains a policy of suspending or terminating, at its absolute discretion, accounts of users who infringe upon the intellectual property rights of Stockmore Images Inc. or any third party.
INFRINGEMENT NOTIFICATIONS
If you in good faith believe that any material on the Platform infringes your intellectual property or other proprietary rights, you may submit a formal notification to our designated agent at legal@stockmore.com.
COPYRIGHT
All photographic images, visual content, and related materials made available through the Platform (collectively, the “Licensed Content”) are protected by the Copyright Act (Canada), international treaties, and other applicable intellectual property laws. All right, title, and interest in and to the Licensed Content, including all copyrights and moral rights therein, remain exclusively vested in Stockmore Images Inc., its licensors, or contributing creators.
The Licensed Content is licensed, not sold. No ownership rights are conveyed to you.
Any use of Licensed Content not expressly authorized under these Platform Terms or under a separate written agreement with Stockmore Images Inc. constitutes infringement and may result in statutory damages, injunctive relief, recovery of legal costs, and any other remedies available at law or in equity.
Standard Royalty-Free License (Digital and Limited Print)
Upon payment of applicable fees and continued compliance with these Platform Terms, Stockmore Images Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable, worldwide license to use Licensed Content as follows:
Digital Use
You may reproduce, display, transmit, and distribute Licensed Content in digital form, including websites, social media platforms, digital advertising, electronic publications, and presentations, without limitation as to audience size.
Print Use (Up to 5,000 Copies)
You may reproduce Licensed Content in physical printed materials provided that total cumulative production does not exceed five thousand (5,000) copies per Licensed Content file.
The 5,000-copy limitation applies cumulatively across all print runs, editions, revisions, versions, languages, territories, and distribution channels. Each physical unit containing the Licensed Content constitutes one copy. You bear sole responsibility for tracking and documenting print quantities.
Reproduction exceeding 5,000 total copies requires a separately negotiated Extended License prior to production. Unauthorized reproduction beyond this threshold constitutes a material breach of these Platform Terms and copyright infringement.
Extended License
A separate written Extended License agreement is required for:
- Print production exceeding 5,000 cumulative copies
- Use on merchandise, apparel, packaging, consumer goods, or products for resale or promotional distribution
- Inclusion in templates, downloadable design assets, resale products, or similar offerings
- Use where the Licensed Content constitutes a primary value element of a product or service
No extended rights are granted absent express written authorization from Stockmore Images Inc.
Prohibition on Artificial Intelligence and Machine Learning Use
Licensed Content may not be used, directly or indirectly, for the purpose of training, developing, fine-tuning, validating, or operating artificial intelligence systems, machine learning models, generative technologies, computer vision systems, or similar automated processes.
This prohibition includes, without limitation, dataset inclusion, automated scraping, ingestion for model development, reverse engineering, stylistic replication, or synthetic generation derived from Licensed Content.
Any such use constitutes a material breach of these Platform Terms and may constitute willful infringement under applicable law.
Moral Rights
Stockmore Images Inc. and its contributing creators retain all moral rights in the Licensed Content to the fullest extent permitted under applicable law. You shall not distort, mutilate, misattribute, or otherwise modify Licensed Content in a manner prejudicial to the creator's honor or reputation, nor remove embedded authorship or rights management information where technically feasible.
No waiver of moral rights is granted except pursuant to an express written agreement.
Sensitive Use Restriction
Licensed Content may not be used in connection with subject matter that would reasonably be considered sensitive, controversial, or defamatory without prior written consent from Stockmore Images Inc.
Sensitive uses include, without limitation:
- Political endorsements, campaigns, or advocacy
- Religious or ideological promotion
- Health-related claims or medical conditions
- Criminal activity, illegal conduct, or allegations thereof
- Pornographic, sexually explicit, or adult-oriented materials
- Content implying unlawful behavior, moral impropriety, or reputational harm
- Contexts that suggest personal endorsement of products, services, or causes where none exists
You bear sole responsibility for ensuring that your use of Licensed Content does not create false association, endorsement, or reputational harm. Stockmore Images Inc. reserves the right to determine, in its sole discretion, whether a proposed use falls within this restriction.
Indemnification and Audit
You assume full responsibility for your use of Licensed Content and agree to indemnify, defend, and hold harmless Stockmore Images Inc., its affiliates, officers, directors, employees, licensors, and contributors from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Use exceeding licensed scope
- Unauthorized reproduction or distribution
- Breach of this Copyright section
- Use of Licensed Content in violation of the Sensitive Use Restriction
Stockmore Images Inc. reserves the right, upon reasonable notice, to request written certification of usage quantities. Failure to provide accurate documentation may constitute evidence of breach.
Stockmore Images Inc.'s aggregate liability shall not exceed the license fee paid for the Licensed Content at issue.
Ontario Enforcement
You irrevocably attorn to the exclusive jurisdiction of the courts of the Province of Ontario for all proceedings relating to the enforcement of intellectual property rights arising under these Platform Terms, including applications for injunctive or equitable relief. Stockmore Images Inc. reserves the right to pursue enforcement in any jurisdiction where infringement occurs.
All rights not expressly granted herein are reserved.
EDITORIAL, COMMERCIAL, AND PERSONAL USE
Stockmore Images Inc. makes available two primary classifications of Licensed Content: Commercial and Editorial. Distinct rights and limitations apply to each category. You are solely responsible for ensuring that your intended use complies with the applicable classification.
Editorial Use
Editorial use refers to use of Licensed Content for reporting, commentary, education, documentary production, or factual illustration. Examples include newspapers, magazines, blogs, textbooks, and documentary programming.
Editorial Licensed Content may depict identifiable persons, private property, trademarks, or branded elements for which model or property releases are not available. Such content may not be used for advertising, promotional, merchandising, or endorsement purposes.
Editorial Licensed Content must not be used in a manner that implies sponsorship, endorsement, or commercial association.
Commercial Use
Commercial use refers to use of Licensed Content in advertising, marketing, packaging, promotional materials, brand campaigns, or other activities intended to promote goods, services, or business interests.
You are solely responsible for confirming that Licensed Content designated for commercial use includes appropriate model and property releases where required. Editorial Licensed Content may not be used for commercial purposes absent a separate written agreement.
Personal Use (Statutory Exception)
In certain jurisdictions, including Canada, copyright legislation provides a limited personal-use exception under Section 29.22 of the Copyright Act (Canada). This exception permits individuals to reproduce lawfully obtained copyrighted works for strictly private, non-commercial purposes, subject to statutory conditions. Personal use does not permit public display, online sharing, organizational use, resale, promotional use, gifting for commercial advantage, or circumvention of technological protection measures. Nothing in these Platform Terms expands or modifies statutory rights.
TRADEMARKS
The trademarks, service marks, logos, and trade names of Stockmore Images Inc., including but not limited to the Stockmore Images Inc. emblem and any associated branding, are the exclusive property of Stockmore Images Inc. and its licensors, and shall not be replicated, simulated, or employed in any manner without prior express written consent. You shall not incorporate any "concealed text" or meta-tags utilizing Stockmore Images Inc. marks without authorization. The distinctive appearance and configuration of the Platform, encompassing headers, icons, and navigational elements, constitute protectable trade dress of Stockmore Images Inc. and shall not be imitated. All other marks appearing on the Platform belong to their respective owners, and reference thereto implies no affiliation or endorsement by Stockmore Images Inc.
EXTERNAL LINKS
Stockmore Images Inc. provides hyperlinks to external websites solely for user convenience and disclaims any endorsement, warranty, or liability regarding the content, accuracy, or reliability thereof. Such external sites operate independently, and Stockmore Images Inc. exercises no control over them. You access external sites at your own peril and are advised to scrutinize their respective terms, policies, and practices. Stockmore Images Inc. shall not be liable for any transactions, disputes, or damages arising from your interactions with third-party sites.
INTERACTIVE FEATURES AND USER SUBMISSIONS
The Platform may incorporate forums, comment sections, or other participatory elements (collectively, "Interactive Features") wherein you or others may submit content, opinions, or materials ("User Submissions"). You bear exclusive responsibility for your utilization of Interactive Features and do so at your sole risk. By engaging therewith, you covenant not to submit any User Submissions that:
- Are illegal, defamatory, obscene, harassing, invasive of privacy, or otherwise objectionable;
- Promote unlawful conduct or infringe upon third-party rights;
- Violate intellectual property or contractual obligations;
- Impersonate individuals or entities;
- Constitute unsolicited commercial solicitations or spam;
- Disclose confidential information;
- Contain malicious code or disruptive elements; or
- In Stockmore Images Inc.'s sole judgment, impair Platform functionality or expose parties to harm.
Stockmore Images Inc. assumes no liability for User Submissions, nor for any errors, defamations, or offenses therein. As a mere conduit for interactive services, Stockmore Images Inc. disclaims responsibility for User Submissions. While under no obligation to monitor, Stockmore Images Inc. reserves the right to edit, remove, or refuse any User Submissions at its discretion. You are responsible for backing up your User Submissions. By posting, you grant Stockmore Images Inc. a perpetual, irrevocable, royalty-free, worldwide license to exploit such submissions in any medium, including the right to use associated identifiers. You warrant ownership or authorization over User Submissions and that they infringe no rights.
ACCOUNT REGISTRATION AND SECURITY
To access certain features, you must provide accurate registration data and maintain its currency. You shall safeguard your credentials, report breaches promptly, and assume full liability for account activities, including taxes and fees. You indemnify Stockmore Images Inc. against unauthorized access risks.
INDEMNIFICATION OBLIGATIONS
You agree to indemnify, defend, and hold harmless Stockmore Images Inc., its affiliates, officers, directors, employees, agents, licensors, and contractors from and against all claims, demands, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your User Submissions; (b) your conduct or misuse of the Platform; (c) breaches of these Platform Terms or representations herein; (d) unauthorized exploitation of Platform Materials; or (e) violations of third-party rights. This obligation survives termination.
DISCLAIMERS OF WARRANTIES
THE PLATFORM AND ITS MATERIALS ARE FURNISHED ON AN "AS IS" AND "AS AVAILABLE" BASIS. STOCKMORE IMAGES INC., ITS AFFILIATES, LICENSORS, AND AGENTS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR FREEDOM FROM VIRUSES OR DEFECTS. STOCKMORE IMAGES INC. DOES NOT WARRANT UNINTERRUPTED ACCESS, ERROR-FREE OPERATION, OR COMPATIBILITY. YOU ASSUME ALL RISKS ASSOCIATED WITH UTILIZATION, INCLUDING REPAIR COSTS. CERTAIN JURISDICTIONS MAY NOT PERMIT EXCLUSION OF IMPLIED WARRANTIES; THUS, SOME LIMITATIONS MAY NOT APPLY.
LIMITATIONS ON LIABILITY
IN NO EVENT SHALL STOCKMORE IMAGES INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF SUCH POSSIBILITY. AGGREGATE LIABILITY SHALL NOT EXCEED AMOUNTS PAID BY YOU TO STOCKMORE IMAGES INC. IN THE PRECEDING SIX (6) MONTHS. SOME JURISDICTIONS PROHIBIT LIABILITY LIMITATIONS; ACCORDINGLY, CERTAIN EXCLUSIONS MAY NOT APPLY.
GOVERNING LAW AND DISPUTE RESOLUTION
These Platform Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, excluding conflicts principles. Any disputes arising hereunder shall be resolved exclusively through confidential binding arbitration in Toronto, Ontario, before a single arbitrator under the rules of the ADR Institute of Canada. The arbitral award shall be final and enforceable in any court of competent jurisdiction. Notwithstanding, Stockmore Images Inc. may seek injunctive relief in any court to protect its intellectual property. You consent to jurisdiction and venue in Ontario courts for such purposes.
TERMINATION RIGHTS
Stockmore Images Inc. reserves the unqualified right, without notice or liability, to suspend or terminate your access to the Platform at its sole discretion, including for suspected violations.
MISCELLANEOUS CLAIMS
Any waiver must be in writing signed by Stockmore Images Inc. Invalid provisions shall be severed, with remaining terms enforceable. Rights not granted are reserved. Force majeure events excuse performance delays.
AMENDMENTS TO PLATFORM TERMS
Stockmore Images Inc. may amend these Platform Terms at its discretion, effective upon posting with updated date. Continued use constitutes acceptance. Review periodically.
